Welcome to Smart Ikimina, Rwanda's premier AI-powered community savings and loans platform.

1. Acceptance of Terms

By accessing or using the Smart Ikimina website, mobile application, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Platform on behalf of a community group, organization, or government entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, please do not access or use the Platform. Your continued use of the Platform constitutes your acceptance of any changes or updates to these Terms.

Important: Smart Ikimina is a financial management platform. Please read these Terms carefully as they affect your legal rights and obligations.

2. Definitions

  • "Platform" refers to Smart Ikimina, an AI-powered community savings and loans management system, including all associated websites, applications, and APIs.
  • "Minecofin" refers to the Ministry of Finance and Economic Planning of Rwanda (or supervisory admin entity with oversight authority).
  • "Group" refers to any registered Ikimina, Tontine, VSLA, or community savings collective operating on the Platform.
  • "Member" refers to any individual participant within a registered Group who has an active account.
  • "Group Administrator" refers to the individual(s) designated to manage a specific Group's operations.
  • "AI Features" refers to predictive analytics, chatbot assistants, fraud detection algorithms, and automated reporting tools.
  • "TIRA Loan" refers to the emergency loan product with 10% interest, repayable within 3 months.
  • "Ordinary Loan" refers to the standard loan product with 5% interest, repayable within 3 months.
  • "Share" refers to a unit of contribution valued at 500 RWF per share.
  • "Social Fund" refers to the weekly contribution of 100 RWF for community welfare and support.

3. Eligibility and Registration

3.1 Age Requirement

You must be at least 18 years old to register and use the Platform. By registering, you confirm that you meet this age requirement.

3.2 Accurate Information

You agree to provide true, accurate, current, and complete registration information. You are responsible for maintaining the accuracy of this information and updating it as necessary.

3.3 Approval Process

All Groups and Members require approval before accessing Platform features. Minecofin (Super Admin) will review Group registrations, while Group Administrators will review Member registrations. Approval is at the sole discretion of the reviewing entity.

3.4 One Account Per Member

Each individual may maintain only one active Member account. Duplicate accounts, fraudulent registrations, or identity misrepresentation are strictly prohibited and will result in immediate termination.

3.5 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to your account. Smart Ikimina is not liable for any losses resulting from compromised credentials.

4. Platform Roles and Responsibilities

4.1 Minecofin (Super Admin)

Minecofin has the right to:

  • Oversee all community Groups operating on the Platform
  • Approve, suspend, or reject Group registrations
  • Monitor system-wide analytics and financial activity
  • Generate comprehensive reports for regulatory purposes
  • Enforce compliance with Rwandan financial regulations
  • Suspend non-compliant entities or individual users

4.2 Group Administrators

Group Administrators are responsible for:

  • Managing member registrations and verifications
  • Approving or denying loan requests
  • Scheduling and managing group meetings
  • Tracking attendance and applying penalties
  • Recording group expenses
  • Enforcing internal Group bylaws that comply with these Terms
  • Providing timely responses to member inquiries

4.3 Members

Members are responsible for:

  • Making timely weekly contributions
  • Repaying loans according to agreed schedules
  • Attending scheduled meetings or providing proper notice
  • Maintaining accurate personal information
  • Adhering to Group bylaws and these Terms

5. Financial Transactions and Contributions

5.1 Weekly Contributions

Members agree to contribute weekly according to their Group's structure:

  • Shares: Each share is valued at 500 RWF. Members may purchase up to 4 shares per week (maximum 2000 RWF).
  • Social Fund: Each member contributes 100 RWF weekly to support community welfare initiatives.
  • Contributions are due on scheduled meeting days unless otherwise specified by the Group.

5.2 Payment Methods

Payments are processed via integrated mobile money services (MTN Mobile Money and Airtel Money). You are responsible for any transaction fees charged by your mobile network operator. Smart Ikimina does not charge additional fees for standard contributions.

5.3 Payment Confirmation

Upon successful payment, you will receive a digital receipt via the Platform and SMS notification. It is your responsibility to verify that contributions are correctly recorded.

5.4 Refunds

Contributions to shares and social funds are generally non-refundable. In exceptional circumstances (e.g., Platform error), refund requests must be submitted in writing to your Group Administrator within 14 days of the transaction.

5.5 No Guarantee of Returns

While the Platform facilitates dividend distribution at the end of each 53-week cycle based on accumulated shares and interest income, Smart Ikimina does not guarantee specific returns or profits. Dividends are determined by each Group's financial performance.

6. Loan Terms and Conditions

Loan Products Summary:

6.1 TIRA Loans (Emergency Loans)

  • Interest Rate: 10% of the principal amount
  • Repayment Period: Maximum 3 months (90 days) from disbursement date
  • Eligibility: Must have made consistent contributions for at least 8 weeks
  • Maximum Amount: Determined by Group based on member's savings history

6.2 Ordinary Loans

  • Interest Rate: 5% of the principal amount
  • Repayment Period: Flexible up to 3 months (90 days)
  • Eligibility: Active member in good standing with no outstanding penalties
  • Maximum Amount: Up to 3x member's total savings (subject to Group funds)

6.3 Loan Approval Process

All loans are subject to approval by the Group Administrator, subject to available Group funds. The AI-powered loan eligibility checker provides recommendations only and does not guarantee approval. Group Administrators may request additional documentation or impose stricter conditions.

6.4 Repayment

Loan repayments must be made via mobile money according to the agreed schedule. Partial repayments are accepted but interest continues to accrue on the outstanding balance. Repayment receipts are provided upon each payment.

6.5 Default and Penalties

  • Late Payment Penalty: 5% monthly penalty on the outstanding balance for each month or partial month the loan remains unpaid beyond the due date.
  • Consequences of Default: May include suspension of future loan privileges, deduction of penalties from savings/dividends, and reporting to credit reference bureaus where permitted by law.
  • Collections: Persistent default may result in legal action to recover outstanding amounts.

6.6 Early Repayment

Early repayment is encouraged and does not incur any prepayment penalties. Interest is calculated only for the period the loan was outstanding.

7. Penalties and Fines

By joining a Group, you agree to the following standard penalties. Groups may modify these amounts with prior notice to members, provided they do not exceed reasonable limits:

Penalties are recorded in the Platform and deducted from member savings or dividends. Persistent non-payment of penalties may result in suspension of Platform access.

8. AI Features and Limitations

8.1 Advisory Purpose Only

Smart Ikimina incorporates Artificial Intelligence features including predictive analytics, loan default risk assessment, savings recommendations, and automated dividend calculations. These AI-driven insights are provided for informational and advisory purposes only and do not constitute professional financial advice. You should consult with qualified financial professionals before making significant financial decisions.

8.2 AI Chatbot

The AI chatbot assistant provides automated responses based on available Platform data. While we strive for accuracy, chatbot responses may not always be complete or current. For critical issues, always contact human support via the provided channels.

8.3 Fraud Detection

You consent to machine learning monitoring of transaction patterns for fraud detection purposes. Suspicious activity may trigger automated alerts, temporary account restrictions pending investigation, and reporting to relevant authorities. False positives may occur; we will work to resolve any such issues promptly.

8.4 Model Accuracy

AI models are trained on historical data and may contain biases or inaccuracies. Smart Ikimina disclaims liability for any losses resulting from reliance on AI-generated recommendations. We continuously improve our models but do not guarantee their accuracy.

8.5 Opt-Out

You may request exclusion from certain AI features (e.g., personalized recommendations) by contacting support@smartikimina.rw. Note that opting out may affect functionality, and fraud detection cannot be disabled for security reasons.

9. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

  • Illegal Activities: Using the Platform for money laundering, terrorist financing, fraud, or any other illegal activity under Rwandan law.
  • Unauthorized Access: Attempting to hack, reverse-engineer, decrypt, or disrupt Platform services, servers, or databases.
  • Identity Misrepresentation: Impersonating another member, administrator, or government official.
  • Credential Sharing: Sharing your login credentials with unauthorized individuals.
  • Data Scraping: Using automated tools to extract data from the Platform without written permission.
  • Abusive Conduct: Harassing, threatening, or abusing other users or Platform staff.
  • Gaming the System: Manipulating contributions, loans, or votes to gain unfair advantage.
  • False Information: Providing false or misleading information during registration or transaction processes.

Violation of these prohibitions may result in immediate termination, legal action, and reporting to law enforcement authorities.

10. Termination and Suspension

10.1 Grounds for Termination

Smart Ikimina reserves the right to suspend or terminate your access to the Platform for any of the following reasons:

  • Violation of these Terms or applicable Group bylaws
  • Non-payment of loans or excessive unpaid penalties
  • Request by Minecofin or your Group Administrator
  • Inactivity for more than 6 consecutive months
  • Fraudulent, abusive, or illegal conduct
  • Bankruptcy, insolvency, or death of a member (estate will be contacted)

10.2 Effects of Termination

Upon termination:

  • Your access to Platform features will be revoked
  • Outstanding loans become immediately due and payable
  • Accumulated savings will be held for 30 days pending settlement of any debts
  • Remaining funds (after debt settlement) will be disbursed via mobile money
  • Your data will be retained as required by law for audit purposes

10.3 Voluntary Account Closure

Members may close their accounts by submitting a written request to their Group Administrator. All outstanding loans and penalties must be settled before closure. A processing fee (maximum 2,000 RWF) may apply for early closure outside the annual cycle.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Smart Ikimina and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Platform.
  • Our total cumulative liability to you for all claims arising from or relating to these Terms or the Platform shall not exceed the total fees paid by you (if any) to Smart Ikimina in the preceding 6 months, or 50,000 RWF (approximately $40 USD), whichever is greater.
  • We are not responsible for losses due to mobile network failures, internet service provider outages, unauthorized account access (unless caused by our gross negligence), force majeure events (natural disasters, war, terrorism, strikes, government actions), or third-party services integrated with the Platform.
  • Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

12. Dispute Resolution

12.1 Internal Escalation

Disputes between Members should first be raised to the Group Administrator for resolution. Disputes involving Group Administrators should be escalated to Minecofin (Super Admin) via the Platform's support system.

12.2 Mediation

If a dispute cannot be resolved internally within 30 days, either party may request mediation through the Kigali International Arbitration Centre (KIAC) or an agreed independent mediator. Mediation costs shall be shared equally unless otherwise agreed.

12.3 Arbitration

Any dispute not resolved through mediation shall be finally settled by binding arbitration in accordance with the KIAC Arbitration Rules. The arbitration shall take place in Kigali, Rwanda, and shall be conducted in English or Kinyarwanda. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

12.4 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law principles.

13. Modifications to Terms

Smart Ikimina reserves the right to update or modify these Terms at any time without prior individual notice. We will notify users of material changes via:

  • Email to your registered email address (with 30 days' notice for material changes)
  • Platform notification upon login
  • Updating the "Last Updated" date at the top of this document

Your continued use of the Platform after any changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Platform and close your account.
